Welcome to PortfolioGlance. These Terms of Service ("Terms") govern your access to and use of PortfolioGlance's website, services, and applications (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

Interpretation and Definitions

Interpretation

The words with capitalized initial letters have meanings defined under the following conditions. These definitions shall have the same meaning regardless of whether they appear in singular or plural form.

Definitions

For the purposes of these Terms of Service:

• Account means a unique account created for you to access our Service or parts of our Service.
• Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to PortfolioGlance.
• Content refers to content such as text, images, data, or other information that can be posted, uploaded, linked to or otherwise made available by you, regardless of the form of that content.
• Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
• Service refers to the PortfolioGlance website and application.
• Terms (also referred as "Terms of Service") mean these Terms of Service that form the entire agreement between you and the Company regarding the use of the Service.
• Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.
• Website refers to PortfolioGlance, accessible from portfolioglance.com
• You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service.

Account Registration and Security

Creating an Account

To use certain features of our Service, you must register for an account. You can create an account by:

• Signing up with Google
• Signing up with Facebook

When you create an account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account credentials secure.

Account Eligibility

You must be at least 18 years old to use our Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

Account Security

You are responsible for safeguarding your account and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain the security of your account.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates any applicable national or international law or regulation
• Exploit, harm, or attempt to exploit or harm minors in any way
• Transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service
• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack
• Use the Service to distribute unsolicited or unauthorized advertising

Investment Disclaimer

No Guarantees

We make no representations, warranties, or guarantees regarding:

• The accuracy, completeness, or timeliness of any information provided through the Service
• The performance of any investment or portfolio tracked using the Service
• Any financial outcomes or results from using the Service
• The accuracy of AI-generated analysis or insights

Investment Risks

All investments involve risk, including the possible loss of principal. You should consult with a qualified financial professional before making any investment decisions. PortfolioGlance is not liable for any investment losses, missed opportunities, or any other financial outcomes resulting from your use of the Service.

Manual Data Entry

PortfolioGlance is a manual portfolio tracking tool. You are responsible for entering accurate and complete data. We do not connect to brokerage accounts or verify the accuracy of data you enter. Any analytics, calculations, or insights provided are based solely on the data you manually input into the Service.

Subscription Tiers and Payment

Free Standard Tier

New users automatically receive a Standard tier subscription with:

• 1,000 AI analysis tokens
• Up to 3 portfolios
• Up to 20 instruments per portfolio (50 total)
• Ad-supported experience

Pro Tier

Pro tier subscription includes:

• 10,000 AI analysis tokens per month
• Unlimited portfolios
• Unlimited instruments
• Ad-free experience
• Priority support

Payment Terms

Pro subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by law. We reserve the right to change our pricing at any time, with notice provided to existing subscribers at least 30 days before the change takes effect.

Token System

AI analysis features consume tokens based on the complexity of the analysis. Token balances reset monthly on your subscription renewal date. Unused tokens do not roll over to the next billing period.

Your Content and Data

Ownership

You retain all rights to the portfolio data, transactions, notes, and other content you create or upload to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you.

Data Privacy

Your investment data is private and will not be shared with third parties except as described in our Privacy Policy. When you use AI analysis features, anonymized portfolio data may be sent to third-party AI providers (OpenAI, Google Gemini) for processing.

Data Backup and Loss

While we implement regular backups and security measures, you are responsible for maintaining your own backups of important data. We are not liable for any data loss, corruption, or unauthorized access to your data, except as required by applicable law.

Intellectual Property Rights

Our Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of PortfolioGlance and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use. This license does not include any right to:

• Resell or make commercial use of the Service
• Modify, copy, or create derivative works based on the Service
• Reverse engineer or attempt to extract the source code of the Service
• Remove, alter, or obscure any proprietary notices on the Service

Third-Party Services and Links

Our Service may contain links to third-party websites or services that are not owned or controlled by PortfolioGlance, including:

• Authentication providers (Google, Facebook)
• AI service providers (OpenAI, Google Gemini)
• Market data providers
• Payment processors

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that PortfolioGlance shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such content, goods, or services available on or through any such websites or services.

Service Availability and Modifications

Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any downtime, service interruptions, or loss of data resulting from such unavailability.

Changes to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

Updates and Maintenance

We may perform scheduled maintenance or updates to improve the Service. We will attempt to provide advance notice of planned maintenance when possible, but we are not obligated to do so.

Account Termination

Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. Upon termination, your right to use the Service will immediately cease, and we will delete your data in accordance with our Privacy Policy.

Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Violation of our Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of fees (for Pro subscribers)
• Extended period of inactivity
• At our sole discretion for any other reason

Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers and Limitation of Liability

"AS IS" and "AS AVAILABLE" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, PortfolioGlance disclaims all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of any content or data
• Warranties that the Service will be uninterrupted, secure, or error-free
• Warranties regarding the results that may be obtained from using the Service

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PORTFOLIOGLANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you have paid to us in the twelve (12) months prior to the claim, or $100 USD, whichever is greater.

Financial Losses

We are specifically NOT liable for any investment losses, missed investment opportunities, or financial damages of any kind arising from your use of the Service, including but not limited to losses resulting from inaccurate data, AI analysis errors, system downtime, or any other cause.

Indemnification

You agree to defend, indemnify, and hold harmless PortfolioGlance, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any third-party rights
• Your Content or any content you post or share through the Service
• Any investment decisions or financial losses you incur

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions. Your use of the Service may also be subject to other local, state, national, or international laws.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to the competent courts in Poland.

Class Action Waiver

To the extent permitted by law, all claims must be brought in an individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, multiple plaintiff, or similar proceeding.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service and may terminate your account.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and PortfolioGlance regarding the use of the Service. These Terms supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Service.
